Effective date: March 24, 2026

This End User License Agreement ("Agreement") is a legal agreement between you and Pa'a Prefab ("Pa'a Prefab," "we," "us," or "our") governing your access to and use of Pa'a Assistant and related services, software, automations, integrations, websites, communications, and documentation (collectively, the "Service").

By accessing or using the Service, you agree to this Agreement. If you do not agree, do not use the Service.

## 1. Eligibility And Authorized Use

The Service is intended for business and internal operational use by Pa'a Prefab and users authorized by Pa'a Prefab. You may use the Service only if you have authority to do so and only in compliance with applicable law, this Agreement, and any applicable organizational policies.

## 2. License Grant

Subject to this Agreement, Pa'a Prefab grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes.

No ownership rights are transferred to you. Pa'a Prefab and its licensors retain all right, title, and interest in and to the Service.

## 3. Restrictions

You agree not to:

- copy, sell, lease, sublicense, distribute, or commercially exploit the Service except as expressly permitted by Pa'a Prefab;

- reverse engineer, decompile, disassemble, or attempt to derive source code or underlying models except to the extent prohibited by law;

- interfere with or disrupt the Service, security features, or connected systems;

- use the Service to violate law, regulation, confidentiality obligations, privacy rights, or third-party rights;

- use the Service to submit malicious code, unauthorized scraping, spam, abusive content, or unlawful material;

- attempt to gain unauthorized access to accounts, integrations, data, or environments.

## 4. Connected Accounts And Third-Party Services

The Service may connect to third-party services such as QuickBooks, Square, Google Workspace, Telegram, or other business systems. You are responsible for ensuring you have the right to connect those services and authorize access.

Your use of third-party services is governed by the terms and privacy policies of those third parties. Pa'a Prefab is not responsible for third-party services, their availability, or their acts or omissions.

## 5. Data And Content

You retain responsibility for the legality, accuracy, and appropriateness of the content, data, prompts, files, instructions, and materials submitted through the Service.

You grant Pa'a Prefab the rights reasonably necessary to host, process, transmit, store, analyze, transform, and display your submitted data and connected-service data solely to operate, secure, maintain, and improve the Service and to provide requested functionality.

## 6. AI-Generated Output

The Service may generate summaries, recommendations, classifications, drafts, reports, or other output using AI or automated systems. You acknowledge that such output may be inaccurate, incomplete, misleading, or outdated.

You are solely responsible for reviewing and validating output before acting on it. The Service is not a substitute for professional judgment and does not provide legal, tax, accounting, medical, or other regulated professional advice.

## 7. Security And Credentials

You are responsible for maintaining the confidentiality of any credentials, tokens, devices, or access methods under your control and for promptly reporting suspected unauthorized use or security incidents.

## 8. Availability And Changes

Pa'a Prefab may modify, suspend, or discontinue any part of the Service at any time, with or without notice. Features, integrations, and availability may change over time.

## 9. Feedback

If you provide suggestions, ideas, or feedback about the Service, Pa'a Prefab may use them without restriction or obligation to you.

## 10. Termination

This Agreement remains in effect until terminated. Pa'a Prefab may suspend or terminate your access at any time if you violate this Agreement, create risk to the Service or others, or if access is no longer authorized.

Upon termination, your license to use the Service ends immediately, but provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and indemnity obligations.

## 11. Disclaimer Of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PA'A PREFAB DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

PA'A PREFAB DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.

## 12. Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PA'A PREFAB AND ITS AFFILIATES, PERSONNEL, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THIS AGREEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF PA'A PREFAB FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THIS AGREEMENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

## 13. Indemnity

You agree to defend, indemnify, and hold harmless Pa'a Prefab and its affiliates, personnel, contractors, and licensors from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your content, your connected accounts, or your violation of this Agreement or applicable law.

## 14. Governing Law

This Agreement is governed by the laws of the State of Hawaii, without regard to conflict-of-law rules. Any dispute arising out of or relating to this Agreement or the Service will be brought exclusively in the state or federal courts located in Hawaii, and you consent to those courts' jurisdiction.

## 15. Changes To This Agreement

We may update this Agreement from time to time. If we make material changes, we may update the effective date above and provide additional notice where appropriate. Your continued use of the Service after changes take effect means you accept the updated Agreement.
